Terms and Conditions

1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Spillman & Crane (“Company,” “we,” “us,” or “our”), concerning your access to and use of the spillmancrane.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”), and our text message-based services (the “Messaging Service”).

By accessing the Site or using the Messaging Service, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must discontinue use of the Site and the Messaging Service.

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by Spillman & Crane or licensed to us. They are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.

3. User Representations

By using the Site, you represent and warrant that: (1) all information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity and you agree to comply with these Terms and Conditions; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site through automated or non-human means, whether through a bot, script, or otherwise; and (6) you will not use the Site for any illegal or unauthorized purpose.

4. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Prohibited activity includes, but is not limited to: systematic retrieval of data; tricking, defrauding, or misleading us or other users; and attempting to impersonate another user.

5. SMS Messaging Service Terms

Use of the Spillman & Crane text message-based services is subject to the following terms.

Opt-In and Message Types

Spillman & Crane will provide several different opportunities, such as entering a phone number on a form, to opt in to SMS services. When you sign up for our Messaging Service, you agree to receive the following type(s) of SMS messages from us:

  • Appointment reminders and scheduling
  • Follow-up communications
  • Billing updates
  • Marketing

Opt-Out and Help

You can cancel the Messaging Service at any time. Just text “STOP” to unsubscribe. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time or reply “START”, and we will start sending SMS messages to you again.

If at any time you forget what keywords are supported, just text “HELP”. After you send the SMS message “HELP” to us, we will respond with instructions on how to use our service as well as how to unsubscribe.

Messaging Rates and Frequency

Message and data rates may apply for any messages sent to you from us and to us from you, and Spillman & Crane is not liable for the cost of any such messages. Frequency of messages may vary. Carriers are not liable for delayed or undelivered messages. If you have any questions about your text plan or data plan, it is best to contact your wireless provider. Privacy of Messages

You understand that anyone with access to your mobile phone may be able to view the messages you receive when using the Messaging Service, and you agree that Spillman & Crane will not be liable to you if this occurs.

Voluntary Consent

You understand that you are not required to consent to the Messaging Service to receive any other services from Spillman & Crane.

By agreeing to these Terms and Conditions and providing us with your mobile phone number when you opt in to the Messaging Service, you authorize Spillman & Crane to contact you by text message at your mobile phone number using an automatic telephone dialing system or device, or any other computer-assisted technology as applicable.

6. Limitation of Liability

IN NO EVENT WILL SPILLMAN AND CRANE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR MESSAGING SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Modifications to These Terms

We reserve the right, in our sole discretion, to modify or change these Terms and Conditions at any time with or without prior notice to you. The date of the last update will be posted at the top of these Terms for your convenience. Your continued use of the Site or Messaging Service following the posting of any changes constitutes your full acceptance of those changes.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Spillman & Crane and yourself irrevocably consent that the courts of the State of Utah shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms.
